DESCRIPTION:In recent years, as a result of a large-scale reform of civil law, new investment tools designed to strengthen the protection of current and potential investors against risks have emerged. These innovations are widely used in civil-law transactions, especially in M&A. At the same time, the updated regulatory framework is full of gaps, and arbitral practice is only being formed. The question is how to use these tools and whether they are acceptable and effective in M​​&A when a seller, a buyer and/or an acquired company go bankrupt.       VEGAS LEX invites you to a workshop on mitigating legal risks in M&A, including by using modern tools in standard and specific ("bankrupt") situations. We will analyze various options for legal risk minimization in terms of their effectiveness in different situations, court approach to individual cases and legal terms used. We will also provide recommendations for structuring and preparing transactional documents.
